1. Acceptance of these terms

These Terms and Conditions (the "Terms") govern your access to and use of mintfunding.com (the "Site"), operated by Mint Funding Inc. ("Mint," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. What Mint is — and is not

Mint provides merchant cash advances — the purchase of future receivables at a discount — working through independent sales organizations ("ISO partners"). A merchant cash advance is not a loan, and Mint is not a lender and not a broker. Nothing on the Site constitutes banking, lending, legal, tax, or investment advice.

3. Marketing content only — no promises

All content on the Site is provided for general marketing and informational purposes only. Nothing on the Site is a promise, guarantee, warranty, or commitment of any kind. Without limiting that statement:

• Decision times (including "one hour"), funding times (including "same day"), advance amounts, buy rates, leverage parameters, approval likelihood, commission timing, and every other figure on the Site are illustrative targets that describe typical outcomes on clean, complete submissions during business hours. Actual outcomes vary by file, volume, verification, and circumstances, and may differ materially from what is described.
• Mint Funding Inc., together with its owners, affiliates, officers, employees, and agents (the "Mint Parties"), shall not be held accountable or liable for any expectation, action, or decision based on Site content — including, for example, a decision delivered later than one hour or any outcome that differs from a figure or description on the Site.
• Funded-deal examples, tickers, and deal cards are representative composites with details rounded and merchant identities withheld. They are not a promise of identical or similar terms.

Every actual offer is made in writing after underwriting review of a complete package, and every advance and every partnership is governed solely by its signed written agreement, which controls over anything on the Site.

4. No offer or commitment to fund

Nothing on the Site is an offer or commitment to purchase receivables, to fund any business, or to enter into any partnership. Submission of a file, form, or application creates no obligation on Mint or on you.

5. Eligibility and authorized use

The Site and our services are strictly business-to-business and available only to persons 18 or older acting on behalf of a business. You agree to use the Site only for lawful purposes and in accordance with these Terms.

6. ISO submissions and merchant authorization

ISO partners represent and warrant that they hold each merchant's authorization for every document and data point they submit, that submitted information is accurate and complete to the best of their knowledge, and that their conduct complies with applicable law. Mint may decline, suspend, or terminate any submission or partnership for misrepresentation, unauthorized submissions, or unlawful conduct.

7. Commissions

Commission schedules, rates, and terms are provided to ISO partners at onboarding and are confidential. References on the Site to commission timing (including "every Monday") describe Mint's standard practice, are provided for general information only, and are not an offer of specific terms. Commission arrangements are governed solely by the written partnership agreement.

8. Intellectual property

The Site and its content — including text, design, graphics, logos, and layout — are the property of Mint or its licensors and are protected by intellectual-property laws. You may not copy, scrape, republish, or create derivative works from the Site without our prior written consent, except for personal, non-commercial viewing.

9. Third-party links and services

The Site may reference or link to third-party services (for example WhatsApp or Google Fonts). Mint does not control and is not responsible for third-party services, their content, or their practices.

10. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MINT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE MINT PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR YOUR RELIANCE ON ANY SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE MINT PARTIES' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). FUNDED ADVANCES AND PARTNERSHIPS ARE GOVERNED SOLELY BY THEIR SIGNED WRITTEN AGREEMENTS, WHICH CONTAIN THEIR OWN TERMS.

12. Indemnification

You agree to indemnify and hold the Mint Parties harmless from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your submission of information you were not authorized to submit.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Site or these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. YOU AND MINT EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION.

14. Changes; severability; entire agreement

We may update these Terms at any time by posting the revised version on this page; continued use of the Site constitutes acceptance. If any provision is held unenforceable, the remainder stays in effect. These Terms and the Privacy Policy are the entire agreement between you and Mint regarding the Site; signed written agreements govern all funded advances and partnerships.
